Terms of Service

In brief. EmployeeRoster is provided by Spruce Technology to organizations for their employees to use. These terms cover your individual use of the app. The commercial agreement between Spruce and your employer governs the broader relationship.

1.Acceptance of these terms

These Terms of Service (“Terms”) are an agreement between you and Spruce Technology, Inc. (“Spruce,” “we,” or “us”) governing your use of EmployeeRoster (the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If a separate written agreement between Spruce and your employer covers the Service, that agreement governs the commercial relationship, and these Terms govern your individual use as an authorized user.

2.The Service

EmployeeRoster is a company directory that lets an organization’s people find colleagues, view profiles and org charts, see work milestones and company events, and recognize one another. The Service is made available to you because your organization has chosen to use it and has authorized your access.

3.Eligibility and accounts

You may use the Service only if your organization has authorized you to do so and only for its intended workplace purpose. You must be old enough to work and to form a binding agreement.

You are responsible for keeping your sign-in credentials secure and for activity that occurs under your account. Notify your IT team or us promptly if you believe your account has been accessed without authorization. If you sign in through Microsoft, your organization’s identity settings and policies also apply.

4.Acceptable use

When using the Service, you agree not to:

Directory information about your colleagues is provided for legitimate workplace use. Treat it with the same care your organization expects of any personnel information.

5.Your content

The Service lets you post recognition and messages (for example, Kudos). You retain any rights you have in what you post. By posting, you grant Spruce a non-exclusive license to host, store, and display that content within your organization for the purpose of operating the Service. You are responsible for what you post, and it must comply with these Terms and your organization’s policies.

6.Intellectual property

The Service, including its software, design, and the EmployeeRoster name and logo, is owned by Spruce and protected by intellectual-property laws. These Terms do not grant you any right to use Spruce’s trademarks or to copy, modify, or create derivative works of the Service, except as expressly permitted.

7.Privacy

Our handling of personal information is described in our Privacy Policy. Because EmployeeRoster is a workplace tool, the information in your organization’s directory is controlled by your employer, and questions about that information are usually best directed to them.

8.Third-party services

The Service works with third-party services, including Microsoft (for organizations that use Microsoft sign-in) and the Apple App Store (for the iOS app). Your use of those services is subject to their own terms. Spruce is not responsible for third-party services it does not control.

9.Availability and changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may add, change, suspend, or remove features, and we may perform maintenance that temporarily limits access. Where a separate agreement with your organization sets service commitments, that agreement controls.

10.Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that directory information is complete or accurate, since much of it is provided by your organization and its people.

11.Limitation of liability

To the fullest extent permitted by law, Spruce will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law. Any commercial agreement between Spruce and your organization may set out additional or different liability terms that govern that relationship.

12.Termination

Your access to the Service depends on your continued authorization by your organization. Access typically ends when your employment or engagement ends, when your organization removes your profile, or when your organization stops using the Service. We may also suspend or terminate access if these Terms are violated or to protect the Service or its users.

13.Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in New York for any dispute not subject to a separate agreement between Spruce and your organization.

14.Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
